1. About these terms

These Terms & Conditions (“Terms”) govern your access to and use of the website gigwand.com (the “Site”) and any recruitment services we provide (the “Services”).

The Site and the Services are operated by Luvione Ltda. (“Gigwand”, “we”, “us” or “our”), a company registered in Brazil at São Paulo.

By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or the Services.

2. The services we provide

Gigwand connects companies (“Clients”) with vetted technology and creative professionals (“Talent”) through two engagement models:

  • Headhunting — sourcing and placing professionals for direct hire by the Client.
  • Managed talent — providing ongoing professionals managed end-to-end by Gigwand.

The specific scope, deliverables, fees and duration of any engagement are set out in a separate written proposal or agreement between Gigwand and the Client.

3. Eligibility and accounts

You must be at least 18 years old and have the legal authority to bind the company you represent in order to engage our Services. You agree to provide accurate and complete information when submitting a request or otherwise interacting with us.

4. Fees and payment

Fees for the Services are agreed in writing in a proposal, statement of work or service agreement. Unless stated otherwise:

  • fees are stated in EUR and are exclusive of applicable taxes;
  • invoices are payable within 14 days of the invoice date;
  • late payments may incur statutory default interest under Croatian law.

Quotes generated by the website calculator are non-binding estimates intended for orientation only. The final fee is confirmed in the written proposal.

5. Client responsibilities

The Client agrees to:

  • provide accurate role requirements and timely feedback;
  • treat introduced Talent professionally and confidentially;
  • pay agreed fees on time;
  • not bypass Gigwand by directly engaging introduced Talent outside the agreed model for a period of 12 months from introduction (anti-circumvention).

6. Talent vetting and replacement

We carefully vet professionals before introducing them. However, Gigwand acts as an intermediary or service provider and is not the employer of Talent placed for direct hire under the Headhunting model.

For Headhunting placements, where a placed candidate leaves within the replacement window agreed in the proposal, Gigwand will use reasonable efforts to provide a one-time replacement at no additional fee, subject to the conditions set out in the proposal.

7. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party, including business, technical, financial and personal data, and to use it solely for the purposes of the engagement.

8. Intellectual property

All content on the Site, including text, graphics, logos, and software, is owned by or licensed to Gigwand and is protected by intellectual property laws. You may not copy, reproduce or distribute any part of the Site without our prior written consent.

For the Managed talent model, ownership of work product delivered by Talent transfers to the Client upon full payment, unless agreed otherwise in writing.

9. Acceptable use

You agree not to:

  • use the Site for any unlawful or fraudulent purpose;
  • attempt to gain unauthorised access to any part of the Site or underlying systems;
  • scrape, copy or republish content without our written permission;
  • upload or transmit malicious code, spam or harmful content.

10. Disclaimers

The Site is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Gigwand disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement.

Recruitment outcomes depend on many factors outside our control, and we do not guarantee that any specific candidate will be placed or that any business outcome will be achieved.

11. Limitation of liability

To the maximum extent permitted by law, Gigwand will not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, loss of data, or business interruption.

Our aggregate liability arising out of or related to the Services shall not exceed the fees paid by the Client to Gigwand in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud or gross negligence).

12. Term and termination

These Terms apply for as long as you use the Site or our Services. Engagement-specific terms (including notice periods) are set out in the relevant proposal or service agreement.

We may suspend or terminate your access to the Site at any time if you breach these Terms.

13. Privacy

Our processing of personal data is described in our Privacy Policy, which forms part of these Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Croatia. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts in São Paulo, Brazil, without prejudice to any mandatory consumer protection rules.

15. Changes to these terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the latest version. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
